2. Description of Service

uClone provides a platform that enables users to:

• Create mobile-first sales funnels and landing pages using AI-powered tools
• Deploy AI chatbots and automated messaging systems ("AI Setter")
• Integrate with third-party platforms including Instagram, WhatsApp, and other services
• Collect and manage leads and customer information
• Process payments through integrated payment systems
• Access analytics and performance tracking tools

3. User Accounts

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement.

If you use the Service on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, "you" includes both you and that entity, and both are jointly and severally liable for obligations under these Terms.

4. User-Generated Content

4.1 Your Responsibility for User Content

User Content includes, but is not limited to:

• Funnel pages, landing pages, and all content displayed therein
• Text, images, videos, graphics, and other media you upload or create
• Chatbot and AI setter configurations, prompts, and training data
• Automated messages and responses sent to your leads and customers
• Products, services, and offers you promote through the Service
• Claims, testimonials, and marketing materials you publish
• Data you collect from your funnel visitors and leads

4.2 User Content Warranties and Representations

By submitting User Content, you represent and warrant that:

• You own or have obtained all necessary rights, licenses, and permissions to use and authorize us to use all User Content
• Your User Content does not infringe, misappropriate, or violate any third-party rights, including intellectual property rights, privacy rights, or publicity rights
• Your User Content does not contain false, misleading, or deceptive statements or claims
• Your User Content complies with all applicable laws, regulations, and industry standards, including but not limited to FTC guidelines, advertising laws, consumer protection laws, and data protection regulations
• You have obtained all necessary consents from individuals whose information or likeness appears in your User Content
• Your User Content does not contain any viruses, malware, or harmful code

4.3 No Monitoring Obligation

We have no obligation to monitor, review, edit, or remove User Content. However, we reserve the right to remove or disable access to any User Content at any time, without prior notice, for any reason, including content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.

4.4 License to User Content

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and display such content solely for the purpose of operating and providing the Service.

5. AI-Generated Content and AI Services

5.1 AI Funnel Builder

When you use our AI funnel builder, the AI generates content based on your prompts, inputs, and provided materials. You acknowledge that:

• AI-generated content may contain errors, inaccuracies, or inappropriate content
• You must review and approve all AI-generated content before publishing
• Once you publish AI-generated content, it becomes your User Content, and you assume full responsibility for it
• AI-generated content may not be unique and similar content may be generated for other users

5.2 AI Setter and Chatbot

When using our AI setter, chatbot, or automated messaging features, you acknowledge and agree that:

• You are responsible for all automated communications sent to your leads, customers, or contacts through the Service
• AI responses are generated based on your configurations and training data, and may not always be accurate or appropriate
• You must configure and monitor AI responses to ensure they are accurate, legal, and appropriate for your use case
• You are responsible for disclosing to recipients that they are communicating with an AI/automated system where required by law
• You must ensure automated communications comply with all applicable laws, including anti-spam laws, telemarketing regulations, and messaging platform terms of service
• We are not liable for any claims, damages, or losses arising from AI/chatbot communications

5.3 AI Limitations

Our AI features utilize third-party AI providers and machine learning models. We do not guarantee the accuracy, reliability, or appropriateness of AI outputs. AI responses may be unexpected, incorrect, or contextually inappropriate. You assume all risks associated with the use of AI-generated content and automated communications.

5.4 No Professional Advice or Guaranteed Results

The Service (including AI outputs, templates, recommendations, and analytics) is for general informational and operational purposes only and does not constitute legal, tax, accounting, financial, medical, or other professional advice. You are solely responsible for obtaining advice from qualified professionals and for all business decisions, compliance determinations, claims, and outcomes arising from your use of the Service.

6. Prohibited Uses

You agree not to use the Service to:

• Create, publish, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Promote illegal activities or products, including but not limited to illegal drugs, weapons, or counterfeit goods
• Engage in fraud, deception, or misleading practices
• Make false or misleading claims about products, services, or results
• Impersonate any person or entity, or falsely state or misrepresent your affiliation
• Infringe upon intellectual property rights of others
• Collect or harvest personal information without proper consent
• Send spam, unsolicited communications, or violate anti-spam laws
• Violate the terms of service of integrated platforms (Instagram, WhatsApp, Meta, etc.)
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use the Service for any purpose that violates applicable law
• Promote or facilitate hate speech, discrimination, or violence
• Create content targeting or exploiting minors
• Use the Service to process or transmit highly sensitive data (including protected health information, biometric identifiers, government IDs, or payment card data outside approved processor workflows) unless explicitly authorized by us in writing
• Use the Service in violation of export control, sanctions, anti-corruption, telemarketing, consumer-protection, or privacy laws

7. Third-Party Integrations and Platforms

When you connect third-party services to the Service, you acknowledge and agree that:

• Your use of third-party integrations is subject to the terms and policies of those third parties
• We are not responsible for the availability, accuracy, or reliability of third-party services
• Third-party platforms may change their APIs, terms, or policies at any time, which may affect the functionality of our integrations
• You are responsible for complying with all terms of service and policies of integrated platforms
• We are not liable for any suspension, termination, or action taken by third-party platforms against your account
• Data shared with third-party services is subject to their respective privacy policies

8. Payment Terms

8.1 Subscription and Fees

• Subscription fees are billed in advance on a recurring basis (monthly or annually)
• All fees are non-refundable except as expressly stated in these Terms
• We reserve the right to change our fees upon reasonable notice
• You are responsible for providing accurate billing information

8.2 uClone Payments

If you use uClone Payments to accept payments through your funnels:

• Payment processing is provided by third-party payment processors (such as Stripe)
• You are responsible for complying with payment processor terms and applicable payment laws
• We are not liable for payment disputes, chargebacks, or issues between you and your customers
• You are responsible for fulfilling all products, services, or promises made to your customers

8.3 Taxes and Renewal

• You are responsible for all taxes, duties, and governmental assessments associated with your use of the Service, other than taxes based on our net income
• Subscriptions automatically renew unless canceled before the next billing cycle
• You are responsible for any third-party platform or processor fees, penalties, fines, and assessments related to your activities

9. Intellectual Property

9.1 Our Intellectual Property

The Service, including all content, features, and functionality (excluding User Content), is owned by uClone and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

9.2 Your Intellectual Property

You retain ownership of your User Content. By using the Service, you grant us only the licenses necessary to provide the Service as described in these Terms.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination: (a) your right to use the Service will immediately cease; (b) you remain responsible for all obligations accrued before termination; (c) all provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which uClone is incorporated, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration, except that either party may seek injunctive relief in any court of competent jurisdiction.

14.1 Informal Dispute Resolution

Before filing any claim, the parties agree to attempt to resolve disputes informally by written notice and a good-faith negotiation period of at least thirty (30) days.

14.2 Arbitration and Venue

Except where prohibited by applicable law, any dispute not resolved informally will be finally resolved by confidential, binding arbitration on an individual basis. The arbitration will be conducted in English by a single arbitrator in the county/state (or equivalent jurisdiction) where uClone is incorporated, unless the parties agree otherwise.

14.3 Class Action and Jury Trial Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND UCLONE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND UCLONE WAIVE ANY RIGHT TO A JURY TRIAL.

14.4 Time Limit to Bring Claims

To the maximum extent permitted by law, any claim or cause of action arising out of or relating to the Service or these Terms must be filed within one (1) year after the claim arose; otherwise, it is permanently barred.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and uClone regarding the Service and supersede all prior agreements and understandings.
